you agree to be bound by the following Terms and Conditions. Please read them carefully.

1. General Information

Location: Langford, British Columbia, Canada

These Terms and Conditions govern your use of this website and the purchase of products and services from Bad Frog Print Shop. We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the website, approval of artwork, or payment of an invoice constitutes acceptance of the
current Terms.

Bad Frog Print Shop reserves the right to refuse service or cancel orders at its discretion.

2. Payment Terms

All prices are listed in Canadian Dollars (CAD) unless otherwise stated.
Payment must be received in full before production begins unless credit terms have been approved in writing.
New clients are required to submit 100% payment upfront.
After three (3) completed orders, clients may request credit terms, subject to approval, requiring:
● 50% deposit upfront
● Remaining balance due Net 30
Invoices outstanding beyond 30 days will incur a 2% daily late fee and result in an immediate hold on current
and future orders.
Clients agree not to initiate chargebacks for approved and delivered custom orders. Any payment disputes
must be raised directly with Bad Frog Print Shop

3. Artwork, Proofs & Approvals
All custom orders require written approval of final mockups and/or tech packs prior to production.
Approvals are final and binding.
Once approval is provided, Bad Frog Print Shop is not responsible for errors including, but not limited to,
spelling, sizing, placement, or colour.
Changes cannot be made once production has begun.
Clients are responsible for reviewing approvals carefully before confirming.

4. Order Processing & Production Timelines
Orders enter production only after payment and final approval are received.
Standard production timeline: 15–20 business days.
Rush production options may be available at an additional cost and are subject to availability:
● Rush 1: 7–10 business days
● Rush 2: 2–6 business days
All production timelines are estimates and are not guaranteed.
Bad Frog Print Shop is not responsible for missed events, deadlines, or business losses due to production or shipping delays unless explicitly guaranteed in writing.

5. Cancellations, Refunds & Abandoned Orders
All sales are final. Refunds are not permitted under any circumstances.
If an order is cancelled after payment:
● No refund will be issued
● Ordered garments and materials will be held at Bad Frog Print Shop for 30 days
Clients may either:
● Pick up materials as-is, or

● Reactivate the order, at which point the production timeline will restart from the date of re-confirmation

Unclaimed materials after 30 days may be disposed of at Bad Frog Print Shop’s discretion.

6. Returns, Exchanges & Defects
Due to the custom nature of promotional products:
● No returns or exchanges are accepted on custom items
Returns are accepted only for:
● Manufacturer defects
● Items produced incorrectly compared to approved specifications
Approved issues will be resolved by replacement or credit only.

Shipping costs are non-refundable.

7. Client-Supplied Garments
Client-supplied garments are accepted only at Bad Frog Print Shop’s discretion.
Bad Frog Print Shop assumes no liability for damage, misprints, colour reactions, or garment failure during
printing.
No replacements, refunds, or reimbursement will be provided for client-supplied items.
Volume and tiered pricing discounts do not apply to client-supplied garments. Decoration of client-supplied
items is charged at a flat per-piece rate regardless of quantity, as volume pricing reflects garment sourcing
that does not apply when garments are supplied by the client.
By supplying garments, the client accepts all associated risks.

8. Product Variations & Production Tolerances
Minor colour variations may occur due to screen displays, fabric types, or manufacturer dye lots.
Sizing tolerances are set by manufacturers and are outside of Bad Frog Print Shop’s control.
A production variance of up to 5% over or under the ordered quantity is considered acceptable and does not
constitute a defect.

9. Shipping, Delivery & Risk Transfer
Delivery dates are estimates and not guaranteed.
Bad Frog Print Shop is not responsible for delays caused by couriers, weather, supplier issues, or
circumstances beyond our control.
Shipping costs are non-refundable.
Ownership and risk of loss transfer to the client upon pickup or delivery to the courier.

10. Force Majeure
16745792 Canada Inc. DBA Bad Frog Print Shop shall not be held liable for delays or failure to perform
resulting from events beyond its reasonable control, including but not limited to acts of God, supplier delays,
labour disruptions, transportation failures, natural disasters, governmental actions, or other unforeseen
circumstances

11. Limitation of Liability
16745792 Canada Inc. DBA Bad Frog Print Shop shall not be liable for any indirect, incidental, consequential,
or special damages arising from the use of this website, products, or services. Liability is strictly limited to the
value of the affected portion of the order.

12. Intellectual Property
All content on this website, including text, graphics, logos, images, and designs, is the property of 16745792
Canada Inc. DBA Bad Frog Print Shop and is protected by applicable copyright and trademark laws.
Unauthorized use is prohibited without prior written consent.

13. Privacy Policy
Your privacy matters to us. Please refer to our Privacy Policy for information on how we collect, use, and
protect personal data.

14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall
continue in full force and effect.

15. Entire Agreement
These Terms constitute the entire agreement between the client and Bad Frog Print Shop and supersede all
prior discussions, representations, or agreements, whether written or verbal.

16. Governing Law
These Terms and Conditions are governed by the laws of the Province of British Columbia and the laws of
Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts located in
Victoria, BC.
